PORTAL ACCESS TERMS

1. Parties

This Confidentiality Agreement ("Agreement") is between 2NTH (operated by B2BS.co.za, Craig Leppan, South Africa) and the individual accepting these terms ("Recipient").

2. Confidential Information

All materials accessed through the 2nth.org investor portal are confidential, including but not limited to: financial projections, cap tables, term sheets, IP valuations, business plans, technical architecture, revenue data, partner details, and any documents marked as confidential ("Confidential Information").

Publicly available pages (thesis, structure, IP buildup, IP dashboard) are not considered confidential under this Agreement.

3. Obligations

The Recipient agrees to:

• Keep all Confidential Information strictly confidential
• Not disclose, copy, or distribute Confidential Information to any third party without prior written consent from 2NTH
• Use Confidential Information solely for evaluating a potential investment in or partnership with 2NTH
• Not use Confidential Information to compete with, replicate, or reverse-engineer 2NTH's products, services, or business model
• Notify 2NTH immediately if any unauthorised disclosure occurs

4. Exceptions

This Agreement does not apply to information that: (a) is or becomes publicly available through no fault of the Recipient; (b) was already known to the Recipient before disclosure; (c) is independently developed without reference to Confidential Information; or (d) is required to be disclosed by law, provided 2NTH is given reasonable notice.

5. Duration

This Agreement remains in effect for two (2) years from the date of acceptance, regardless of whether the Recipient continues to access the portal.

6. No Obligation

Nothing in this Agreement obliges 2NTH to disclose any information, proceed with any investment, or enter into any further agreement. Access to the portal does not constitute an offer of securities.

7. Governing Law

This Agreement is governed by the laws of the Republic of South Africa.
